KPA Duties

Requirements

Job Title: Consultant: Company Secretary (Compliance)

Job Mission

To manage and facilitate regulatory and corporate governance developments and assist the Group Secretary with all statutory duties.

KPA Duties

Key Tasks: • Ensure that the Group complies with all laws, regulations, policies and governance frameworks. • Facilitate the coordination of governance structures in Opco’s. • Ensure compliance with the JSE Listing Requirements including preparation of the annual JSE Compliance Certificate. • Manage compliance updates and communicate any compliance changes or issues relevant to the Group. • Review, update and ensure alignment of all governance documents regularly (e.g. MoI, Board committees terms of references). • Manage the review of all Opco’s governance documents and frameworks (e.g. Articles and Shareholders agreements etc). • Implement the King III Report, New Companies Act and the Listings Requirements across the Group. • Manage Annual reports and ensure adequate disclosure. Prepare annual declaration of director’s interests • Ensure compliance with the Companies and Intellectual Property Commission (CIPC). • Monitor SENS announcements and communicate regularly regarding open and close periods to deal with MTN shares • Provide Company Secretarial support to Group Risk Management, Compliance and Corporate Governance Committee • Manage and maintain a proper filing system and library for Cosec dept • Monitor the registration status and compliance of BVI companies and facilitate any changes and dissolution of BVI companies • Make proposals to Group President and CEO regarding remuneration to be paid to Opco’s directors. • Compile Group Annual Report, Circular(s) and Prospectus(if any • Facilitate the Annual General Meetings and General meetings of MTN Group Limited • Effective coordination of OpCo’s Cosec Meetings. • Provide support and guidance to Opco Cosecs. • Organise and facilitate Annual Company Secretarial Forum Supervisory / Leadership / Managerial Tasks: Refers to the responsibilities for directing, guiding, motivating and influencing others. • Guide business on regulatory best practices. • Ensure direct reports are led and motivated to achieve key performance areas. • Maintain performance and compliance obligations • Identify staff training and development needs and implement necessary action.

Requirements

LLB and Certificate in Compliance Management. LLM (advantageous)
4 years Company Secretarial and corporate governance experience.

To effectively resolve calls logged with the MTN Business help desk within SLA terms, including faults, changes and technical queries either generated by clients, 3rd party services or the company’s network management systems.

 KPA duties
 
Operational effectiveness
•Provide first level support for all company, 3rd party services and joint services as defined by the company.
•Perform intermediate to advance troubleshooting on customer queries
