Key Responsibilities:
The successful applicant will have, amongst others, the following responsibilities:
Advise the Corporate Secretary on the DBSA’s approach to Corporate Governance across the business units including the DBSA Development Fund to ensure compliance with the Bank’s founding statutes, delegation of authority framework, the Code of Ethics and other governance policies approved by the Board of Directors.
Working with and advising business units to ensure that all business of the DBSA is conducted in accordance with the Bank’s statutory powers, internal processes, and other relevant legislation and regulations.
Advise and work with members of the business units to identify and develop appropriate and effective governance structures for effective decision-making within the DBSA Group.
Educating the business units in corporate governance issues and raising awareness levels across the businesses.
Manage decision making forums including Board committees, management committees and undertake the full range of activities including managing forward plans, scheduling meetings, setting deadlines, preparing accurate agendas, reports, minutes of meetings and action items, notifying and monitoring actions arising and decisions from meetings within set time frames.
Deputise for the Corporate Secretary in his or her absence or as directed on complex and/or sensitive matters.
Managing relationships with National Treasury, executive and senior management and other external stakeholders.
Expertise & Technical Competencies:
At least a post graduate qualification with either law, finance, audit or accounting background
Admission to a recognised professional body
Must have substantial and proven 4-7 post qualification experience in the field of corporate governance, law, public policy or administration or a relevant discipline such as enterprise risk management and internal control, ethics management, accounting or audit
Experience in the public sector or a regulated private sector environment preferable
Extensive knowledge of corporate governance processes including the work and roles of the board of directors, board committees, executive management committees and key stakeholders
Proven ability to analysis and apply best practice corporate governance to business situations
Ability to influence management and develop governance policies and support members of staff
Very strong interpersonal skills
Advanced skills in negotiation, legal drafting, analysis and problem resolution
Ability to work on complex matters and projects with minimum supervision
Excellent communication and presentation skills
